VOR may collect personal information from you as well as from third parties which includes, but is not limited to:

SHARING INFORMATION
VOR does not disclose any nonpublic personal information about you to anyone, except as permitted or required by law and in order to assist you in engaging a real estate professional. However, in the course of servicing you, we may share previously described information about our customers with other service providers such real estate brokers and agents or financial institutions or legal professionals, as needed, to effect transactions, provide maintenance or customer service. We may also disclose your information to other organizations as permitted by law such as government agencies and law-enforcement officials (for example, for tax reporting, or under court order), or to other organizations and individuals with your consent (for example, to your attorney or tax professional).

DATA SOURCES
VOR may provide recommendations based in part on information derived from public and private sources, such as the REBNY Listing Service, for a period of one year or greater. The REBNY Listing Service, and any additional source of this data, make no representations or warranties with respect to the accuracy or completeness of such information and shall not be held liable for any omission or inaccuracy of such information thereof.

THIRD PARTY TRADEMARK
All trademarks not owned by VOR that appear on this website are the property of their respective owners, who may or may not be affiliated with, connected to, sponsored, or endorsed by VOR.

REFERRAL AGREEMENT TERMS & CONDITIONS


By accepting a referral, you acknowledge that we have agreed to refer a client, who desires to buy, sell or rent property, to you.  

 

In consideration for this referral, the Agent has agreed to pay VOR the following referral fee (the “Referral Fee”).


Unless otherwise explicitly stated The Referral Fee shall be twenty-five percent (25%) of the gross sales commission and twenty-five percent (25%) net leasing commission attributable to the Client, or someone under Client's control, and represented by Agent and the Company (the "Commission").

 

The Commission must be actually received by the Company in accordance with the terms herein. The Commission shall include all commissions generated by the Company from any and all transactions with the Client. The Referral Fee will be paid to VOR within 5 business days of the Company's unconditional receipt of the Commission.

 

The Company will advise VOR of the status of any proposed transaction and will inform VOR of the proposed transaction or proposed closing 24 hours prior to the proposed execution of any documents executed by the Client and any proposed closing. VOR is responsible for all taxes on any Referral Fee.

In the event that you have changed brokerages, you agree that you will disclose this agreement to your broker and ensure that a new referral agreement is executed between VOR and the new broker of record. 

The Company agrees that it is an independent contractor, not VOR’s partner, agent or employee. The Company shall bear its own expenses in connection with this Agreement without any reimbursement by VOR. In no event shall VOR be liable for incidental, consequential, punitive, indirect or special damages irrespective of the basis of claim.

The Company and its Agent shall not directly or indirectly solicit or conduct any negotiations with the Client, its representatives, successors or assigns or someone under Client's control outside of this Agreement and without the express written consent of VOR. 

VOR represents to the Company that it is and will continue to be a licensed real estate broker or salesperson in New York.  

In the event of a purchase or sale, the Title Company or other escrow agent is authorized and directed to pay the Referral Fee to VOR out of the closing proceeds. 

Each person signing this Agreement represents and warrants that he or she is duly authorized and has legal capacity to execute and deliver this Agreement. Each party represents and warrants to the other that the execution and delivery of the Agreement and the performance of such party's obligations hereunder have been duly authorized and that the Agreement is a valid and legal agreement binding on such party and enforceable in accordance with its terms. 

The parties agree to indemnify, defend and hold harmless each the Company and VOR, their agents, employees, members, officers and directors from all costs, claims, and expenses, including reasonable legal fees in connection with any claim by any other person or entity, for compensation or fees in connection with a purchase or rental by Client, based upon negotiations or dealings with the Company or VOR. This indemnification shall be limited to the amount of the Referral Fee paid or payable. 

The Company, the Agent, and VOR agree to settle by binding and final arbitration any and all controversies, disputes or claims against the Company, the Agent and VOR, their subsidiaries, affiliates, officers, directors, employees and agents arising out of this Agreement or in connection with this Agreement, or the breach, termination or validity hereof, which could have been brought in a court of competent jurisdiction. The arbitration shall be conducted by an arbitration tribunal in New York, New York pursuant to the rules of the American Arbitration Association and shall apply the laws of the State of New York. In the event of any procedural matter not covered by the aforesaid rules, the procedural laws of the State of New York shall govern.

This agreement shall apply to any transaction(s) which occurs within 2 years of you executing the Referral Agreement.
